HELLOSKILLS TERMS OF SERVICE
Effective Date: November 12th, 2025
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and HelloSkills Group, Inc., a Delaware corporation (“HelloSkills,” “we,” “us,” or “our”), governing your access to and use of the HelloSkills website, platform, web application, and related services (collectively, the “Platform”).
Please note that Section 15 of these Terms contains an arbitration clause and a class action waiver. It affects how disputes between you and HelloSkills may be resolved.
1. ACCEPTANCE OF TERMS
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.
2. ELIGIBILITY
- 2.1 To create an account and use the Platform, you must be at least 18 years old and live in the United States.
- 2.2 If you are under 18 years old (or otherwise under the age of majority where you live), you are not permitted to create an account or use the Platform.
- 2.3 Please do not upload an image, video, or other content that features an individual under 18 years old on the Platform unless you have permission from that individual’s parent or legal guardian.
3. KEY DEFINITIONS
- SkillExpert: A User providing paid or unpaid responses via the Platform.
- Follower: A User submitting a question or request to a SkillExpert.
- Content: Any video, message, or media uploaded, submitted, or created by a User through the Platform.
- Services: All features and functionality provided by HelloSkills via the Platform.
4. ACCOUNT REGISTRATION
Users must register an account and provide accurate information. You are responsible for your account’s confidentiality and all activity that occurs under it. You agree to notify HelloSkills immediately of any unauthorized use of your account by sending an email support@helloskills.com.
4.1 USER REPRESENTATIONS AND WARRANTIES: By using the Platform, you represent and warrant that:
- You have the legal capacity and authority to agree to these Terms and to use the Platform in accordance with all applicable laws.
- All information you provide to HelloSkills is accurate, complete, and truthful.
- You own or have all necessary licenses, rights, consents, and permissions to use and to authorize HelloSkills to use all intellectual property and other rights in your Content as contemplated by these Terms.
- Your Content and your use of the Platform will not infringe, misappropriate, or violate a third party’s intellectual property rights, privacy rights, publicity rights, or any other rights, or violate any applicable law or regulation.
5. PAYMENT & FEES
- 5.1 Payments are processed via Stripe, a third-party payment processor. HelloSkills does not directly store or process your full payment card details. All payment information is handled securely by Stripe in accordance with their terms and privacy policy. Payments you make through the Platform are processed by Stripe on behalf of the SkillExpert, who is the merchant of record for your transaction.
- 5.2 SkillExperts set their own prices for their services. All platform fees and payment processing costs are borne by the SkillExpert and deducted from the SkillExpert’s payout through Stripe Connect. Followers are charged only the all-inclusive total price shown at checkout. Prices displayed to Followers are tax-inclusive or presented in accordance with the SkillExpert’s Stripe Tax settings and applicable law.
- 5.3 Except as stated in the HelloSkills Refund Policy, payments are final and non- refundable, unless otherwise explicitly stated by HelloSkills or required by mandatory consumer protection laws in your jurisdiction.
- 5.4 HelloSkills does not guarantee SkillExpert availability, response quality, or specific outcomes from interactions.
- 5.5 Users must ensure that all payment methods provided are authorized, valid, and have sufficient funds. Misuse of payment methods, including fraudulent transactions, may result in immediate account termination and legal action.
5.6 SkillExpert Merchant of Record and Related Obligations
- 5.6.1 Merchant of Record: Each SkillExpert is the seller and merchant of record for all transactions that he or she conducts through HelloSkills. HelloSkills provides only the online marketplace and technology platform that enables Followers and SkillExperts to connect and transact but does not act as a merchant of record, reseller, payment processor, or payment facilitator.
- 5.6.2 Taxes: SkillExperts are solely responsible for determining, collecting, reporting, and remitting any sales, value-added, use, goods-and-services, or similar taxes arising from transactions with Followers. HelloSkills does not calculate, collect, or remit any such taxes on a SkillExpert’s behalf. If a SkillExpert enables Stripe Tax or any third-party tax automation service, those services are provided directly by Stripe or the applicable provider, and HelloSkills bears no responsibility for their accuracy or operation. SkillExperts remain solely responsible for the correct application and remittance of any such taxes regardless of any automation used. Taxes may be displayed as inclusive or exclusive depending on the SkillExpert’s settings and applicable law.
- 5.6.3 Refunds: SkillExperts are responsible for managing and issuing refunds in accordance with the HelloSkills Refund Policy and all applicable laws. Refunds may result in negative balances in a SkillExpert’s Stripe account, which Stripe may offset against future payouts or charge to the payment method on file. HelloSkills does not process or guarantee refunds on behalf of any SkillExpert. HelloSkills may, at its discretion, assist a Follower by communicating or relaying a refund request to the appropriate SkillExpert, but HelloSkills does not initiate or process refunds through Stripe. Except for automatic refunds related to non-delivery as described in the HelloSkills Refund Policy, all refund decisions and obligations remain solely with the SkillExpert and Stripe. HelloSkills may, in limited cases, offer separate courtesy credits funded by HelloSkills as described in the HelloSkills Refund Policy. Such credits are not refunds of the original transaction.
- 5.6.4 Negative Balances: Refunds, chargebacks, or payment reversals may result in a negative balance in the SkillExpert’s Stripe account. SkillExperts authorize Stripe to deduct any such amounts (including refunded taxes or dispute fees) from future payouts or to charge the payment method on file. HelloSkills does not advance funds, cover negative balances, or assume liability for any deficits in a SkillExpert’s Stripe account.
- 5.6.5 Chargebacks and Disputes: SkillExperts are financially responsible for any chargebacks, reversals, or payment disputes related to their transactions. Stripe may handle the chargeback process on the SkillExpert’s behalf in accordance with its Connected Account Agreement. HelloSkills is not responsible for contesting, managing, or resolving chargebacks or other payment disputes between SkillExperts and Followers. SkillExperts authorize Stripe to recover any chargeback amounts or fees from future payouts or the payment method on file.
- 5.6.6 Platform Fees and Liability: Stripe deducts the HelloSkills Platform Fee and processing fees directly from each transaction. HelloSkills does not receive or settle funds and is not responsible for taxes, refunds, chargebacks, reversals, or any compliance obligations related to a SkillExpert’s transactions.
- 5.7 Payments by Followers: Payments made through the Platform are processed by Stripe on behalf of the SkillExpert, who is the Merchant of Record for each transaction. HelloSkills does not act as a payment processor, merchant of record, or seller of any goods or services to Followers. By completing a transaction, the Follower enters into a direct contractual relationship with the applicable SkillExpert. All payment obligations and refund rights exist between the Follower and the applicable SkillExpert, subject to the HelloSkills Refund Policy and applicable law.
6. INDEPENDENT CONTRACTOR RELATIONSHIP
- 6.1 SkillExperts are independent contractors and are not employees, partners, joint venturers, or agents of HelloSkills. HelloSkills does not control, and has no right to control, the manner, means, or methods by which SkillExperts perform their services.
- 6.2 HelloSkills does not control how, when, or whether SkillExperts respond to requests, nor does it dictate the content or quality of their responses, beyond enforcing Platform guidelines.
- 6.3 SkillExperts are solely responsible for:
- Setting their own prices and availability.
- Managing their own schedule and workload.
- Responding to requests.
- Complying with all applicable local, state, national, and international laws, regulations, and tax obligations related to their services and income, including obtaining any necessary licenses or permits.
- Clearly disclosing any paid partnerships, endorsements, or material relationships in their Content as set forth in Section 8.
7. SPONSORED OR PROMOTIONAL CONTENT
- 7.1 SkillExperts must clearly and conspicuously disclose any paid partnerships, endorsements, sponsorships, or other material connections to any companies, brands, or products they feature in their responses and Content, in accordance with all applicable advertising and consumer protection laws and regulations, including but not limited to the U.S. Federal Trade Commission (“FTC”) Endorsement Guides and the EU Digital Services Act (“DSA”). SkillExperts must use the ‘Sponsorship or Brand Promotion Disclosure’ tool provided during submission.
- 7.2 Failure to adequately disclose such relationships may result in the removal or restriction of Content, suspension or termination of the SkillExpert’s account, and potential legal liabilities.
8. PLATFORM MODERATION
- 8.1 HelloSkills reserves the right, but is not obligated, to review, monitor, or moderate any Content uploaded, submitted, or created through the Platform at any time.
- 8.2 HelloSkills maintains a separate Community Guidelines document, which is incorporated by reference into these Terms. By uploading Content on the Platform, you agree to abide by these Community Guidelines, which provide detailed rules regarding acceptable content and conduct on the Platform. Without limitation, HelloSkills may remove, restrict access to, or refuse to publish Content that, in its sole discretion:
- Violates any applicable law, regulation, or these Terms or the Community Guidelines.
- Includes hate speech, discrimination, nudity, sexually explicit material, harassment, violence, threats, medical or financial misinformation, unapproved promotion of third-party products/services, or content that is otherwise harmful, offensive, or inappropriate.
- Infringes upon the intellectual property rights or privacy rights of others.
- Undisclosed sponsored or promotional content.
- 8.3 HelloSkills may suspend or terminate a User’s access to the Platform in response to suspected fraud, illegal activity, legal risk, or any misuse of the Platform, including repeated violations of these Terms or the Community Guidelines. HelloSkills may remove or restrict Content that includes undisclosed sponsored or promotional content, or materially misleading branded claims.
9. INTELLECTUAL PROPERTY
- 9.1 Users retain ownership of the intellectual property rights in the Content they create and upload to the Platform.
- 9.2 By uploading Content, Users grant HelloSkills a perpetual, non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to: (a) use, reproduce, distribute, prepare derivative works of, display, and perform the Content for purposes of operating, providing, improving, and marketing the Platform, its functionality, and its Services, including to train AI models; and (b) derive anonymized or aggregated insights about the Content or your use of the Platform for purposes of measuring, analyzing, and enhancing the Platform and its Services and reporting on Platform and Service metrics to third parties.
- 9.3 This license survives account termination unless otherwise explicitly revoked by the User in writing, provided that HelloSkills may retain copies of Content for legal compliance, auditing, and backup purposes.
- 9.4 HelloSkills retains all right, title, and interest in and to the Platform, as well as all information, content, and materials we provide on the Platform. We further retain all right, title, and interest in and to the Services, business processes, procedures, methods, and techniques used on the Platform and all related patent rights, copyright rights, trademark rights, trade secret rights, and other intellectual property and proprietary rights therein. You may not modify, copy, distribute, frame, or reproduce any portion of the Platform, in whole or in part, without our prior written permission. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes.
- 9.5 You acknowledge and agree that when you send a video message or other Content to another Platform user (e.g., a Follower sends a video to a SkillExpert for feedback, or a SkillExpert sends a video to a Follower in response), you provide a perpetual, non- exclusive, world-wide, royalty-free, sublicensable, transferable license to HelloSkills to display your video to the other Platform user for use within the Platform. You represent and warrant that you will not attempt to download, resell, monetize, repost on a different service or social media network, or otherwise access any Content to which you do not have an ownership right in accordance with these Terms.
10A. FEEDBACK: You may choose to submit comments, information, ideas, or feedback about the Platform, including without limitation about how to improve the Platform or our Services (“Feedback”). By submitting any Feedback, you agree that your submission is gratuitous, unsolicited, and without restriction and will not place HelloSkills under any fiduciary or other obligation to you. HelloSkills is free to use the Feedback without any additional compensation to you, and to disclose the Feedback on a non-confidential basis or otherwise to anyone. You further acknowledge that, by receiving your Feedback, HelloSkills does not waive any rights to use similar or related ideas previously known to HelloSkills, or developed by its employees, or obtained from sources other than you.
10B. COPYRIGHT PROTECTION: If you believe any Content on the Platform infringes your copyrights, you may request that we remove the Content from the Platform (or disable access to that Content) by contacting our Designated Agent (identified below) and providing the following information pursuant to the Digital Millennium Copyright Act, 17 U.S.C. § 512 (the “DMCA”):
- Identification of the copyrighted work that you believe to be infringed and proof of your copyright. Please describe the work and, where possible, include a copy or the location (e.g., URL) of an authorized version of the work.
- Identification of the material that you believe to be infringing and its location. Please describe the material and provide us with its URL or any other pertinent information that will allow us to locate the material.
- Your name, address, telephone number, and email address.
- A statement that you have a good faith belief that the complained of use of the materials is not authorized by the copyright owner, its agent, or the law.
- A statement that the information that you have supplied is accurate, and indicating that “under penalty of perjury,” you are the copyright owner or are authorized to act on the copyright owner’s behalf.
- A signature or the electronic equivalent from the copyright holder or authorized representative.

Once the Designated Agent receives a notification that meets the requirements set forth above, it is our policy to: (a) review the request; (b) remove or disable access to the infringing Content; and (c) notify the provider of the Content that it has removed or disabled access to such Content.
If you receive a notification of alleged copyright infringement, and believe that the claim is erroneous, you may submit a counter-notification to our Designated Agent within thirty (30) days of the date the Content was removed from the website. A counter-notification must be a written communication that includes substantially the following:
- Identification of the material that has been removed or disabled and its location. Please describe the material and provide us with its URL or any other pertinent information that will allow us to locate the material.
- Your name, address, telephone number, and email address.
- A statement “under penalty of perjury” that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material.
- A signature or the electronic equivalent of the person submitting the counter- notification.
Upon receipt of a counter-notification in accordance with the above, we shall promptly provide the complaining party with a copy. The complaining party shall have within ten (10) business days to inform us that an action has been filed seeking a court order to restrain the alleged infringer from engaging in infringing activity on the website. If we receive such notification within ten (10) business days, we shall not replace the removed Content or cease disabling access to it. If we do not receive such notification from the complaining party that an action has been filed seeking a court order to restrain the alleged infringer from engaging in infringing activity on the website, then we shall replace the removed Content or cease disabling access to it within four (4) business days following the expiration of the ten (10) business day deadline.
In accordance with the DMCA and other applicable law, we may, in its sole discretion, terminate access to the website of any user that we find to be a repeat infringer. HelloSkills reserves the right to define the criteria by which we will determine that a user is a “repeat infringer.”
If you believe that a user is a repeat infringer, please follow the instructions above to contact our Designated Agent and provide information sufficient for us to verify that the user has been determined to be in violation of the DMCA repeatedly.
11. DATA & PRIVACY
- 11.1 HelloSkills collects, uses, stores, and processes personal data in accordance with its Privacy Policy, which is incorporated by reference into these Terms.
12. TERMINATION
- 12.1 HelloSkills may suspend or terminate your access to the Platform, in whole or in part, immediately and without prior notice, for any violation of these Terms, suspected illegal activity, or if HelloSkills believes, in its sole discretion, that your continued use poses a legal or security risk to the Platform or its users. Termination does not relieve SkillExperts of refund obligations for non-delivery or fraud under the HelloSkills Refund Policy.
- 12.2 Users may delete their account at any time by contacting support@helloskills.com.
- 12.3 Sections 5 (Payment & Fees - for accrued obligations), 6 (Independent Contractor Relationship), 7 (Taxes), 10 (Intellectual Property), 10A (Feedback), 11 (Data & Privacy), 13 (Liability Limitation), 13A (Third-Party Links and Services), 14 (Indemnification), 15 (Disputes & Arbitration), and 20 (Language and Translation), along with any other provisions that by their nature should survive, shall survive the termination of these Terms.
13. LIABILITY LIMITATION
- 13.1 HelloSkills is not responsible for, and does not endorse, Content. Accordingly, we may not be held liable, directly or indirectly, for any loss or damage caused to you in connection with any Content, including as a result of your interactions with other users of the Platform. You acknowledge that any reliance upon any opinion, advice, statement, or information contained in Content will be at your sole risk.
- 13.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HELLOSKILLS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL HELLOSKILLS’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO HELLOSKILLS IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO HELLOSKILLS, AS APPLICABLE.
13A. THIRD-PARTY LINKS AND SERVICES: The Platform may contain links to third-party websites or services that are not owned or controlled by HelloSkills. HelloSkills has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that HelloSkills shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless HelloSkills, its officers, directors, employees, affiliates, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of, or inability to use, the Platform; (ii) your Content; (iii) your violation of these Terms; (iv) your violation of any rights of another party, including intellectual property rights or privacy rights; or (v) your violation of any applicable law or regulation.
15. DISPUTES & ARBITRATION
- 15.1 These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. However, nothing in these Terms shall derogate from the mandatory consumer protection laws of the country in which you reside
- 15.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered by the American Arbitration Association (“AAA”) in New York County, New York, in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The decision of the arbitrator shall be final and binding upon the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
- 15.3 You and HelloSkills agree that any arbitration shall be limited to the dispute between HelloSkills and you individually. To the full extent permitted by law, (i) no arbitration shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST HELLOSKILLS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16. FORCE MAJEURE
HelloSkills shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials, internet outages, natural disasters, changes in law or regulation, or governmental actions.
17. RIGHT TO AUDIT
HelloSkills reserves the right to audit SkillExpert activity, Content, and compliance with these Terms in the event of suspected fraud, legal inquiry, or any breach of these Terms.
18. USER DATA OWNERSHIP
Users retain ownership of their data and Content, but grant HelloSkills the limited rights necessary to process, store, and use such data and Content for the operation, improvement, and marketing of the Platform, consistent with these Terms and the Privacy Policy. Data collection and processing are governed by the HelloSkills Privacy Policy.
19. CHANGES TO TERMS
HelloSkills reserves the right to modify these Terms at any time. Material changes will be communicated to Users by posting the updated Terms on the Platform, through email notification, or other reasonable means. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and delete your account.
20. LANGUAGE AND TRANSLATION
These Terms are written in English. Any translated versions of these Terms are provided for convenience only. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall control.
